Overview

Emiliao Milano is a trade name of KCS TRADES LLC, a Wyoming limited liability company ("we," "us," "our"). We operate this store and website, including all related information, content, features, tools, products and services (the "Services").

These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you use the Services. Please read them carefully — they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting or purchasing from us, you agree to be bound by these Terms and by our Privacy Policy. If you don't agree, please don't use the Services.

Our store is hosted by Shopify Inc.

1 — Eligibility and Your Account

By agreeing to these Terms you confirm that you are at least the age of majority in your state of residence. You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell or assign your account to anyone else.

You may not use our products for any unlawful or unauthorized purpose, or in violation of any applicable law.

2 — Our Products

We have made every effort to represent our products accurately. Colors and appearance may differ from how they look on your screen depending on your device and its settings, and we can't guarantee that what you see on screen will match exactly.

Product descriptions may change at any time without notice. We may discontinue a product or limit the quantities we offer to any person or region at our discretion.

3 — Orders

When you place an order you are making an offer to purchase. We may accept or decline any order at our discretion. Your order is not accepted until we confirm it, and we must receive and process your payment first. If we decline, change or cancel an order, we'll try to reach you using the email, billing address or phone number you provided.

Returns and exchanges are governed solely by our Refund Policy.

4 — Prices, Taxes and Billing

Prices, discounts and promotions may change without notice. The price charged will be the price in effect when your order is placed, as shown in your order confirmation.

Posted prices do not include sales tax. Applicable state and local sales tax is calculated and added at checkout based on your shipping address.

You agree to provide current, complete and accurate purchase and account information, and to keep it up to date so we can complete your transactions and contact you when needed. You represent that you are authorized to use the payment method you provide.

5 — Shipping and Delivery

Delivery times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather or other events outside our control. Title and risk of loss pass to you once we transfer the products to the carrier. Our Shipping Policy sets out the details.

6 — Intellectual Property

The Services, including all trademarks, text, images, graphics, video and audio, and their design, selection and arrangement, are owned by KCS TRADES LLC, its affiliates or licensors, and are protected by U.S. and foreign intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, republish or transmit any material from the Services without our prior written consent. All rights not expressly granted are reserved.

7 — Third-Party Tools and Links

We may give you access to third-party tools "as is" and "as available," without warranties of any kind and without endorsement. Any use of those tools is at your own risk. The Services may also link to third-party websites we neither control nor review — please read their policies before dealing with them. Questions or complaints about third-party products and services should be directed to that third party.

8 — Relationship with Shopify

Our store is powered by Shopify, which enables us to provide the Services to you. Any sale or purchase you make is directly with KCS TRADES LLC. Shopify is not responsible for any aspect of a sale between you and us, including any injury, damage or loss arising from products purchased. You release Shopify and its affiliates from all claims arising from your purchases and transactions with us.

9 — Feedback

If you send us ideas, suggestions, reviews or other content, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish and display it for any purpose, including commercial use. We are under no obligation to keep it confidential, to pay you for it, or to respond to it. You confirm that your feedback is yours to give and does not violate anyone else's rights or contain unlawful or abusive material.

10 — Errors, Inaccuracies and Omissions

Occasionally there may be typographical errors or inaccuracies relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct them, and to change information or cancel orders placed on inaccurate information, at any time without prior notice — including after you have submitted an order.

You may use the Services only for lawful purposes. You may not use them to break any law, infringe intellectual property rights, harass or defame anyone, submit false information, upload viruses or malicious code, collect other people's personal information, send spam, scrape the site, or bypass our security features. We may suspend or terminate your account at any time, without notice, if we determine you have violated these Terms.

12 — Termination

We may terminate this agreement or your access to the Services at any time at our discretion, and you remain liable for any amounts owed up to that date. The sections on Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any others that by their nature should survive, will continue to apply.

13 — Disclaimer of Warranties

Information on the Services is provided for general information only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY US, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU IN FULL.

14 — Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KCS TRADES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS, AND THOSE OF SHOPIFY, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. SOME STATES DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.

Nothing in these Terms limits any rights you may have under the consumer protection laws of your state that cannot be waived.

15 — Indemnification

You agree to indemnify and hold harmless KCS TRADES LLC, Shopify, and our affiliates, members, officers, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, arising out of your breach of these Terms, your violation of any law or the rights of a third party, or your use of the Services.

16 — Severability

If any provision of these Terms is found unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, and the unenforceable portion will be severed without affecting the validity of the remaining provisions.

17 — Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms does not waive it. These Terms, together with any policies posted on this site, constitute the entire agreement between you and us regarding the Services, superseding any prior agreements or communications.

18 — Assignment

You may not assign or transfer these Terms or your rights and obligations under them without our prior written consent. We may assign or transfer them without notice to you.

19 — Governing Law and Venue

These Terms and any separate agreements under which we provide you Services are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. You and KCS TRADES LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming, for any dispute arising out of or relating to these Terms or the Services. Nothing here deprives you of the protection of any mandatory consumer protection law of the state in which you reside.

We will notify you of material changes as required by law, and your continued use of the Services after they take effect means you accept them.
